5.8. Special labels and distinctive marks in the System

5.8.1. The “CargoGarant Company Certificate” is a distinctive mark for a legal entity in the System (the “Company Certificate”). There are two types of Company Certificate: a carrier certificate and a freight forwarder certificate.

5.8.2. Conditions for obtaining a Company Certificate:

— the legal entity must have a valid agreement with the Administrator;

— the legal entity must have no negative rating points;

— invoices for System services for the last two (2) years must have been paid on time;

— the legal entity must gain a sufficient number of points for manager certification (for each manager certificate the legal entity receives points depending on the manager certificate level). The sufficient number of certificates is calculated by the formula:

X = (1×B + 2×S + 3×G) / n, where:

B = number of bronze manager certificates in the legal entity;

S = number of silver manager certificates in the legal entity;

G = number of gold manager certificates in the legal entity;

n = number of managers of the legal entity registered in the System.

X must be greater than 1 (one).

If the number of managers with a manager certificate in a legal entity holding a Company Certificate changes and the points for manager certification no longer meet the conditions, the legal entity’s managers must pass certification and obtain a manager certificate.

5.8.3. If the legal entity does not meet one or more of the conditions specified in Clause 5.8.2 of these Rules, the Administration reserves the right, for violation of the Rules, to suspend or revoke the issued Company Certificate without prior notice. Fees paid for services related to issuing the Company Certificate (checking the legal entity in registers, organizing testing of the legal entity’s managers, issuing and activating certificates, etc.) are non-refundable, including where the Company Certificate is revoked. The Administration also reserves the right to change the conditions for obtaining a Company Certificate without prior notice.

5.8.4. The “Manager Certificate” is a distinctive mark for individuals registered in the System. There are two types of Manager Certificate: a carrier certificate and a freight forwarder certificate. Each type has three levels: bronze, silver and gold.

5.8.5. Conditions for obtaining a Manager Certificate:

— to obtain a Manager Certificate, an individual must successfully pass an online test in the System (minimum score 80 points);

— only individuals with at least two years of work experience in the System may take the test to obtain a silver or gold Manager Certificate.

5.8.6. The Administration reserves the right, for violation of the Rules, to suspend or revoke an issued Manager Certificate without prior notice. Fees paid for services related to issuing the Manager Certificate (checking the legal entity in registers, organizing testing of the legal entity’s managers, issuing and activating certificates, etc.) are non-refundable, including where the Manager Certificate is revoked. The Administration also reserves the right to change the conditions for obtaining a Manager Certificate without prior notice.

6. RIGHTS OF THE ADMINISTRATOR

6.1. The Administrator has the right, without prior notice, to change System service prices, suspend or terminate provision of System services, restrict and block access to the System or its separate parts, and block the User’s and/or the User’s Representative’s IP addresses if at least one of the following circumstances is established:

6.1.1. the User fails to fulfill its financial obligations to the Administrator, other Users of the System or third parties (customers, carriers, freight forwarders);

6.1.2. the User is connected with other Users or persons (e.g., the same legal or actual address, the same managers or beneficiaries, concealment of true employee names, etc.) whose access to the System has already been blocked due to insolvency, bankruptcy or improper performance of financial obligations;

6.1.3. the User is connected with persons not registered in the System (e.g., common legal or actual address, the same contact details, managers or beneficiaries, concealment of employee names, etc.) in respect of whom debt recovery or other court proceedings have been initiated;

6.1.4. the User’s Representative is prohibited from posting cargo or transport offers in the System if the User is not a party to the contractual relationships related to such offers. It is also prohibited to transfer such information to natural or legal persons not registered in the System;

6.1.5. the User and/or the User’s Representative performs the actions described in Sections 4–5 of these Rules.

6.2. The Administrator reserves the right to claim a contractual penalty from funds paid for the System’s services. The amount of the penalty may be:

6.2.1. the monthly subscription fee (excluding current promotional offers and discounts) — if violations of these Rules are minor;

6.2.2. the equivalent of the annual subscription fee excluding VAT for each separate violation — if violations pose a medium threat to the interests of the Administrator or other Users and/or Users’ Representatives (e.g., actions described in Clauses 5.1.1, 5.1.7, 5.3.1 and 5.4.2 of these Rules);

6.2.3. the equivalent of double the annual subscription fee excluding VAT for each separate violation — if violations are material and harm the interests of the Administrator or other Users and/or Users’ Representatives (e.g., actions described in Section 4 of these Rules).

6.3. If the cases provided for in Clauses 5.3.1 and 5.4.2 of these Rules occur, the Administrator reserves the right to move the posted information to the “Classifieds” section and charge a fee for this.

6.4. If the cases provided for in Section 5 of these Rules occur, the Administrator reserves the right, without prior notice, to delete, hide or modify in the System a cargo and/or transport offer, classified ad, forum thread, message or review of a User’s Representative.

6.5. If the cases provided for in Clauses 5.7.1–5.7.4 of these Rules occur, the Administrator reserves the right to impose a fine for posting an unfounded claim. In case of repeated violation, the fine amount may be increased and the function for posting unpaid invoices may be disabled.

6.6. If the case provided for in Clause 5.7.5 of these Rules occurs, the Administrator reserves the right to deem the protest regarding an unpaid invoice unfounded, reject it, and impose on the User a fee for reviewing an unfounded protest.

6.7. If the cases provided for in Section 4 of these Rules occur, the Administrator reserves the right, without prior notice, to suspend and/or terminate service provision, block access to the System or its individual sections in full or from certain devices, and block the IP addresses of the User and/or the User’s Representative. The Administrator will regard such actions as unfair competition, which may serve as grounds for a legal claim against the relevant violator.

6.7.1. In case of violation of Clauses 4.6–4.9 of these Rules, the Administrator reserves the right to impose a fine of EUR 500 per month for each User.

7. LIABILITY OF THE ADMINISTRATOR

7.1. The Administrator takes all possible and reasonable measures to ensure the availability of the System, but is not liable for:

7.1.1. System failures or loss of data of the User and/or Users’ Representatives if caused by reasons beyond the Administrator’s control;

7.1.2. partial or no access to the System due to improper performance by the provider of internet services and/or data-center hosting services, or due to failures at such provider;

7.1.3. unavailability of the System due to improper functioning of the User’s Representative’s software or hardware;

7.1.4. System failures due to force majeure and factors beyond the Administrator’s control, including unauthorized interference by Users’ Representatives or third parties in the operation of the System (e.g., DDoS attacks, SQL injection, Cross-Site Scripting, Cross-Site Request Forgery, Man-in-the-Middle, clickjacking, brute force, etc.);

7.1.5. information posted in the System by Users’ Representatives (e.g., cargo and transport offers), as well as the consequences of using such information (when concluding transactions, signing contracts, etc.).

7.2. The Administrator reserves the right to limit access to the System for all Users’ Representatives to perform technical works, but for no more than forty-eight (48) hours.

7.3. The Administrator is not and shall not be deemed a party to contractual relationships arising between Users when using ads posted in the System. The Administrator has no rights or obligations arising from such contractual relationships and is not liable for proper performance of mutual obligations, ensuring their performance, or possible losses resulting from improper performance. All responsibility for concluding contracts based on ads in the System lies solely with the Users who concluded them.

8. PAYMENT FOR SYSTEM SERVICES

8.1. The Administrator reserves the right to make all or certain System services paid, and the User must pay invoices issued by the Administrator for System services within three (3) days from receipt. Invoices are sent to the e-mail address specified in the User’s and the User’s Representative’s Account.

8.2. If provision of System services has been suspended or terminated at the User’s initiative, amounts paid by the User for System services prior to suspension or termination (including services whose term had not expired at the time of suspension or termination) are non-refundable and will not be compensated in any other way to the User or third parties (including the User’s creditors, without limitation).

8.3. In the cases provided for in Clauses 6.1.1, 6.1.2, 6.1.3 and 6.7 of these Rules, amounts paid by the User for System services are non-refundable and shall not be considered an obligation of the Administrator to compensate or reimburse them in any other way.

8.4. In the situations described in Clauses 7.1.1, 7.1.2, 7.1.3 and 7.1.4 of these Rules, amounts paid by the User for System services that have not yet ended are non-refundable.

8.5. The Administrator reserves the right to set or change tariffs for System services and/or the pricing model (including charging per User’s Representative) on an individual basis for each User.

8.6. User or User’s representative may terminate the use of the System by sending the Administrator a written notice by registered mail or email. Access to the System will be terminated 30 calendar days after the notice is received, and the Company is required to pay the invoice for services up to the termination date.

9. FINAL PROVISIONS

9.1. The Administrator has the right at any time unilaterally to amend or supplement these Rules. The date of the latest amendments to the Rules is indicated on the Administrator’s website. The new version of the Rules enters into force upon its publication on the website.

9.2. The Administrator informs Users about amendments to the Rules in advance by sending a notice to the e-mail address specified in the User’s Representative’s Account. Sending a notice to the e-mail address specified in the User’s Representative’s Account is deemed proper notice of amendments to the Rules.

9.3. If the User does not agree with the amendments to the Rules, the User’s Representative must, within thirty (30) calendar days from the date the notice of amendments was sent, inform the Administrator by sending an e-mail to [email protected]

 from the e-mail address specified in the User’s Representative’s Account. If such message is not sent within the specified period, or the System services continue to be used, the User is deemed to have unconditionally agreed to the amended Rules.

9.4. If any provision of these Rules is held invalid or unenforceable by a competent court or other institution, this will not affect the validity or application of the remaining provisions of the Rules — they will remain in full force and effect.

9.5. Legal relations arising under these Rules are governed by the law of the Republic of Lithuania. All disputes, disagreements or claims related to these Rules shall first be resolved through negotiations. If a dispute cannot be settled amicably, it shall be finally resolved in accordance with the laws of the Republic of Lithuania by a competent court of the Republic of Lithuania.
